Scheme of Arrangement - Order to Convene Scheme Meeting

Wameja (LSE: WJA.L & ASX: WJA.AX), a joint venture partner with Mastercard in the HomeSend global payment hub, refers to the Scheme of Arrangement proposed under the Scheme Implementation Agreement as announced on 10 September 2020 and amended on 9 April 2021, 24 May 2021 and 18 June 2021("Scheme") and advises that Wameja has today obtained orders from the Federal Court of Australia to convene a shareholder meeting to consider, and if thought fit, agree to the Scheme ("the Court Order").

 

In accordance with the Court Order, the notice for the shareholder meeting, explanatory statement and terms of the Scheme ("Scheme Booklet") is expected to be registered with the Australian Securities and Investments Commission and dispatched to Wameja shareholders and Wameja depository interest holders on 2 August 2021.

 

The proposed dates for the Scheme are:

 

Scheme Meeting:                                           2 September 2021

Second Court Date:                                       9 September 2021

Effective Date (last day of trading):              10 September 2021

Record Date:                                                14 September 2021

Implementation (Payment) Date:                 21 September 2021

 

Wameja will confirm the registration and dispatch of the Scheme Booklet in due course.
