Notice of Adjourned General Meeting  

 

The Company announced on 8 February 2023 that a General Meeting ("GM"), pursuant to section 656 of the Companies Act 2006, due to have been at the later of 11.00am and 15 minutes after the conclusion of the Company's annual general meeting to be held that day, had not taken place but had instead been adjourned for 10.00am on 15 February 2023. This was due to the original meeting not being quorate under the Company's articles of association.

 

Notice of the original GM was sent to all shareholders and formed part of the documentation (including the annual report) regarding the annual general meeting which took place at 10.00am on the same day. The GM notice was also posted on the Company's website at the same time as the annual general meeting notice and can be viewed on the Company's website at https://britishhoney.co.uk/pages/shareholder-information

 

Notwithstanding due notice of the GM having been given, the directors believe it is in the best interests of the Company and its shareholders to give all shareholders more time to fully consider the business of the GM and to attend the adjourned GM in person. The meeting has therefore been adjourned until 10.30am on Wednesday, 1 March 2023, to be held at Marriott Harrison LLP, 80 Cheapside, London EC2V 6EE.

 

All registered shareholders are invited to attend the adjourned GM. They have the right to attend, speak and vote at the meeting by proxy, and a proxy need not be a member of the Company. To be valid, proxies need to be received by paula.parker@britishhoney.com by 10.30am on Monday, 27 February 2023, being 48 hours before the time and date of the adjourned meeting.

About British Honey Company/Union Distillers

 

Launched in 2014, BHC/Union has an extensive collection of award-winning spirits brands. Its impressive range began with Keepr's British Honey Spirits infused with 100% pure British honey and now includes gin, rum, bourbon, and vodka. In 2020 it expanded further after acquiring the brands of the London Distillery Company (Dodd's Organic Gin, London Distillery Rye and Single Malt Whisky.

 

In February 2021, BHC completed the acquisition of Union Distillers Limited, based in Market Harborough, Leicestershire. Over the years Union has grown to become an independent producer and distributor of its 'own label' brands and "white label" spirits. It has well-invested infrastructure which includes its own stills and a bonded warehouse. Union has a strong manufacturing capability, established brands and an extensive and growing retail and wholesale customer base. Products include its premium, proprietary "Two Birds" range of spirits comprising 11 gins, seven vodkas, a spiced rum and a 29% ABV espresso vodka liqueur.
