Update on Equity Syndication
On 18 July 2022, Becketts Bidco Limited ("Bidco"), a newly incorporated company controlled by funds managed and/or advised by Astorg Asset Management S.à r.l. ("Astorg") and Epiris LLP ("Epiris", and together with Astorg, the "Consortium") announced that it had reached agreement on the terms of a recommended all-cash offer for the entire issued and to be issued ordinary share capital of Euromoney Institutional Investor PLC ("Euromoney") (the "Recommended Offer"). The Recommended Offer is proposed to be effected by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act (the "Scheme"), and is subject to the terms and conditions set out in the scheme document that was published on 12 August 2022 (the "Scheme Document"). The Scheme and its implementation were approved on 8 September 2022 at the Court Meeting and General Meeting.
The Recommended Offer is conditional on, among other things, the Regulatory and Anti-trust Approvals. On 11 November 2022, Euromoney announced that all Regulatory and Anti-trust Approvals set out in paragraphs 3(a) to 3(c) of Part 3 of the Scheme Document have now been received and the Court Hearing has been scheduled for 22 November 2022.

Equity Syndication
It is noted that paragraph 6 of Part 2 of the Scheme Document states that each of Bidco, the Astorg Funds, Epiris and the Ares Funds may directly or indirectly syndicate part of its equity financing commitment to one or more co-investors either before or after the Scheme becomes Effective, and if such syndication occurs prior to the Scheme becoming Effective, any announcements required under the Code will be made and Bidco will, to the extent required by the Code, make an announcement in respect of this through a Regulatory Information Service.
Bidco confirms that the Astorg Funds have syndicated part of their equity funding commitments to funds managed by HarbourVest Partners, LLC ("HarbourVest"). HarbourVest is an independent, global private markets firm. HarbourVest provides clients access to global primary funds, secondary transactions, direct co-investments, real assets and infrastructure, and private credit.
HarbourVest's indirect equity contribution to Bidco will amount to an indirect economic interest in the equity of Bidco of approximately 12.4 per cent. HarbourVest's investment does not confer on it any control rights in relation to Bidco, which shall continue to be controlled by the Consortium.

Disclosure requirements of the Code
Under Rule 8.3(a) of the Code, any person who is interested in 1% or more of any class of relevant securities of an offeree company or of any securities exchange offeror (being any offeror other than an offeror in respect of which it has been announced that its offer is, or is likely to be, solely in cash) must make an Opening Position Disclosure following the commencement of the offer period and, if later, following the announcement in which any securities exchange offeror is first identified.
