Satisfaction of GFSC Condition
On 17 October 2024, the board of directors of Falcon 24 Topco Limited ("Bidco") and the N Brown Independent Directors announced that they had reached agreement on the terms of a recommended cash acquisition, pursuant to which Bidco, a newly formed company owned and controlled by Joshua Alliance, will acquire the entire issued and to be issued share capital of N Brown Group plc ("N Brown"), other than the N Brown Shares already owned or controlled by Joshua Alliance (the "Acquisition"). It is intended that the Acquisition will be implemented by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act (the "Scheme").
On 29 October 2024, N Brown announced the publication of a scheme document, containing the full terms and conditions of the Acquisition (the "Scheme Document"), together with the related Forms of Proxy and Form of Election for the Share Alternative. Terms defined in the Scheme Document have the same meanings in this announcement.
The Acquisition is subject to the Conditions set out in Part 4 of the Scheme Document, including the approval of the Guernsey Financial Services Commission ("GFSC") of the Acquisition. N Brown and Bidco are pleased to announce that the GFSC has confirmed that it has no objection to the Acquisition and, as such, the GFSC Condition has been satisfied.
Completion of the Acquisition remains subject to the waiver or satisfaction of the remaining Conditions set out in Part 4 of the Scheme Document, including obtaining the approval of the requisite majorities of Scheme Shareholders at the Court Meeting, the requisite majority of N Brown Shareholders at the General Meeting, the sanction of the Court and the satisfaction of the FCA Change in Control Condition.
The expected timetable of principal events for the implementation of the Scheme remains as set out on page 9 of the Scheme Document.
