Cancellation of Listing
GAME notes the announcement made by Sports Direct International plc ("Sports Direct") today that, as at 1:00 p.m. on 12 July 2019, it owned, had agreed to acquire or had received valid acceptances of the Mandatory Offer in respect of a total of 145,057,695 GAME Shares, representing approximately 83.88% of the issued share capital of GAME at that date, and noting its intention to procure that GAME make applications to request the cancellation of the listing of GAME Shares on the premium listing segment of the Official List of the

It is anticipated that the Cancellations will take effect on or shortly after 8.00 a.m. on 12 August 2019.
If you do not accept the Mandatory Offer, you will become a minority shareholder in an unlisted subsidiary of Sports Direct, with no certainty of any future opportunity to sell your GAME Shares.
The Cancellations will significantly reduce the liquidity and marketability of any GAME Shares in respect of which the Mandatory Offer has not been accepted. There can be no certainty that GAME would pay any further dividends or other distributions or that such minority GAME shareholders would again be offered an opportunity to sell their GAME Shares on terms which are equivalent to, or not less advantageous than, those under the Mandatory Offer.
The GAME Board accordingly recommends that GAME Shareholders who have not yet done so accept the Mandatory Offer immediately.
