RECOMMENDED ALL-SHARE OFFER FOR THE COMBINATION

and
Redrow plc ("Redrow")
Results of General Meeting
On 7 February 2024, the boards of Barratt and Redrow announced that they had reached an agreement on the terms of a recommended all-share offer for the combination of Barratt and Redrow, pursuant to which Barratt will acquire the entire issued and to be issued ordinary share capital of Redrow by means of a scheme of arrangement of Redrow plc under Part 26 of the Companies Act 2006 (the "Combination"). Under the terms of the Combination, each Scheme Shareholder will receive 1.44 New Barratt Shares for each Scheme Share held, with Scheme Shareholders receiving in aggregate, approximately 476,309,153 New Barratt Shares.

Voting results
At the General Meeting, the ordinary resolution to approve the Combination and authorise the Directors of Barratt to issue ordinary shares in the capital of Barratt in connection with the Combination was duly passed on a poll vote. The results are detailed as follows:

Resolutions submitted to the National Storage Mechanism (the 'NSM')
We will shortly submit a copy of the resolution to the NSM in accordance with Listing Rule 9.6.2.

Redrow Shareholder Meetings
Barratt is pleased to note that the Combination was also approved by the requisite majorities of the shareholders of Redrow at the Redrow Court Meeting and the Redrow General Meeting held earlier today.
Timetable
The outcome of the General Meeting means that Condition 3(a) (as set out in Part A of Part 3 of the Scheme Document) has been satisfied.
Completion of the Combination remains subject to the satisfaction (or, where applicable, the waiver) of the other Conditions to the Scheme (as set out in the Scheme Document). Subject to the satisfaction (or, where applicable, waiver) of the other Conditions, it is expected that the Scheme will become effective during the second half of 2024, and in any event, prior to the Long Stop Date.
The expected timetable of principal events for the implementation of the Combination remains as set out on page 1 of the Circular. If any of the key dates and/or times set out in the timetable change, Barratt will give notice of this change by issuing an announcement through a Regulatory Information Service.
