UPDATE ON scheme TIMETABLE TO COMPLETION
The boards of Nenelite Limited ("Bidco") and UDG Healthcare plc ("UDG") are pleased to announce that, following the sanction by the High Court on 6 August 2021 of the scheme of arrangement under Chapter 1 of Part 9 of the Companies Act 2014 (the "Scheme") in connection with the increased and final recommended cash offer by Bidco, an Affiliate of Clayton, Dubilier & Rice, LLC ("CD&R"), for the entire issued and to be issued share capital of UDG (the "Acquisition"), and the expiration of the stay on that judgment earlier today, the Acquisition can now proceed to completion.
The Scheme and the Acquisition will become effective on delivery to the Registrar of Companies of the Court Order.
Delivery of the Court Order to the Registrar of Companies is expected to occur on 16 August 2021 (the "Effective Date"). Accordingly, tomorrow 13 August 2021, is expected to be the last date on which trading in UDG Shares on the London Stock Exchange will occur. UDG Shares will be suspended from listing on the Official List of the FCA and from trading on the Main Market of the London Stock Exchange by 7.30 a.m. on 16 August 2021. The cancellation of listing of UDG Shares on the Official List of the FCA and of trading in UDG Shares on the Main Market of the London Stock Exchange is expected to occur by 8.00 a.m. on 17 August 2021 (being the first business day following the Effective Date).
Despatch of cheques and electronic transfers to Euroclear Bank for the cash consideration payable by Bidco to Scheme Shareholders under the terms of the Scheme will be effected by no later than 30 August 2021.

Disclosure requirements of the Takeover Rules
Under the provisions of Rule 8.3 of the Takeover Rules, if any person is, or becomes, "interested" (directly or indirectly) in, 1 per cent. or more of any class of "relevant securities" of UDG, all "dealings" by such person in any "relevant securities" of UDG (including by means of an option in respect of, or a derivative referenced to, any such "relevant securities") must be publicly disclosed by not later than 3:30 pm (Irish time) on the "business day" in Dublin following the date of the relevant transaction. This requirement will continue until the date on which the "offer period" ends. If two or more persons co-operate on the basis of any agreement, either express or tacit, either oral or written, to acquire an "interest" in "relevant securities" of UDG, they will be deemed to be a single person for the purpose of Rule 8.3 of the Takeover Rules.
Under the provisions of Rule 8.1 of the Takeover Rules, all "dealings" in "relevant securities" of UDG by CD&R or Bidco, or by any party Acting in Concert with either of them, must also be disclosed by no later than 12 noon (Irish time) on the "business day" in Dublin following the date of the relevant transaction.
