Transfer of Shares from Treasury to EBT

Cobham announces that on 15 January 2020, it transferred 18,724,948 fully paid Cobham ordinary shares (0.76% of Cobham's issued share capital) from treasury to the Cobham Employee Share Trust established on 15 February 2008, to satisfy the exercise of share options and vesting of awards under certain of Cobham's employees' share plans in connection with the acquisition of Cobham by AI Convoy Bidco Limited.  

Following the above transfer 57,226,776 ordinary shares remain in treasury. The Company's issued share capital consists of 2,409,734,339 ordinary shares of 2.5p each an (excluding shares held as treasury shares) and 19.700 preference shares of £1 each. Treasury shares retain no voting rights. On a poll there is one vote for every £1 in nominal value of shares. Therefore the total number of voting rights in the Company is 60,263,058 and this figure should be used by shareholders as the denominator for the calculations by which they would determine if they were required to notify their interest in, or a change to their interest in Cobham, under the FCA's Disclosure and Transparency Rules.
