SHERWOOD ACQUISITIONS LIMITED SCHEME OF ARRANGEMENT
BECOMES EFFECTIVE

 

On 31 March 2021, the boards of Sherwood Acquisitions Limited ("Bidco") and Arrow Global Group plc ("Arrow") announced the terms of a recommended cash offer pursuant to which Bidco will acquire the entire issued and to be issued share capital of Arrow (the "Acquisition"), to be effected by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme"). The circular in relation to the Scheme (the "Scheme Document") was published and posted to Arrow Shareholders on 28 April 2021.

On 7 October 2021, Arrow announced that the High Court of Justice in England and Wales had sanctioned the Scheme at the Sanction Hearing held on 7 October 2021.

Arrow and Bidco are pleased to announce that, following the delivery of the Court Order to the Registrar of Companies today, the Scheme has now become effective in accordance with its terms and, pursuant to the Scheme, the entire issued and to be issued share capital of Arrow is now owned by Bidco.

A Scheme Shareholder on the register of members of Arrow at the Scheme Record Time, being 6:00 p.m. (London time) on 8 October 2021, will be entitled to receive 307.5 pence in cash or, if they made a valid election to participate in the Alternative Offer by the Election Return Time, one Rollover Security for each Scheme Share held. Settlement of the cash consideration to which any Scheme Shareholder is entitled will be effected by way of the despatch of cheques or the crediting of CREST accounts (for Scheme Shareholders holding Scheme Shares in certificated form and in uncertificated form respectively) as soon as practicable and in any event not later than 14 days after the Effective Date, as set out in the Scheme Document. Share certificates in respect of Rollover Securities issued in settlement of the consideration due to participants in the Alternative Offer will be despatched to each relevant Scheme Shareholder (or such other person as they may direct) within 14 days of the Effective Date.

Applications have been made to the Financial Conduct Authority and the London Stock Exchange in relation to the de-listing of Arrow Shares from the premium listing segment of the Official List and the cancellation of the admission to trading of Arrow Shares on the London Stock Exchange's main market for listed securities, which is expected to take effect at 7:30 a.m. (London time) on 12 October 2021.

As the Scheme has now become effective, Arrow duly announces that, as of today's date, Jonathan Bloomer, Lan Tu, Maria Luís Albuquerque and Paola Bergamaschi Broyd have tendered their resignations and have stepped down from the Arrow Board. As described in the Scheme Document, Andrew Fisher will be retained as an independent non-executive director on the boards of one or more entities within the Arrow Group.

The Acquisition relates to the shares of an English company and is being made by means of a scheme of arrangement provided for under the laws of England and Wales.  A transaction effected by means of a scheme of arrangement is not subject to the tender offer or proxy solicitation rules under the US Securities Exchange Act of 1934 (the "US Exchange Act").  Accordingly, the Acquisition is subject to the disclosure and procedural requirements and practices applicable in the United Kingdom to schemes of arrangement which differ from the disclosure requirements of the US tender offer and proxy solicitation rules. 

 

The financial information included in this announcement and the Scheme Document has been prepared in accordance with generally accepted accounting principles of the United Kingdom and thus may not be comparable to the financial information of US companies or companies whose financial statements are prepared in accordance with generally accepted accounting principles in the United States.

Arrow and Bidco are both incorporated under the laws of England and Wales. The Alternative Offer will not be registered and it is proposed that the Alternative Offer will be made pursuant to an applicable exemption.

 

The Rollover Securities are expected to be issued in the United States in reliance upon the exemption from the registration requirements of the US Securities Act provided by section 3(a)(10) thereof.

 

For the purposes of qualifying for the exemptions from the registration requirements of the US Securities Act afforded by Section 3(a)(10), Arrow will advise the Court through counsel that the Court's sanction of the Scheme will be relied upon by Bidco as an approval of the Scheme following a hearing on the fairness of the terms and conditions of the Scheme to Arrow Shareholders at which hearing all such Arrow Shareholders are entitled to appear in person or through counsel to support or oppose the sanctioning of the Scheme and with respect to which notification has been given to all Arrow Shareholders.

 

Arrow Shareholders who are, or will be, affiliates of Bidco after the Effective Date will be subject to certain US transfer restrictions relating to the Rollover Securities received pursuant to the Scheme. Otherwise, the Rollover Securities generally should not be treated as "restricted securities" within the meaning of Rule 144(a)(3) under the US Securities Act and persons who receive securities under the Scheme (other than certain affiliates of Bidco) may resell them without restriction under the US Securities Act.

Dealing and Opening Position Disclosure Requirements

 

Under Rule 8.3(a) of the Takeover Code, any person who is interested in 1% or more of any class of relevant securities of an offeree company or of any securities exchange offeror (being any offeror other than an offeror in respect of which it has been announced that its offer is, or is likely to be, solely in cash) must make an Opening Position Disclosure following the commencement of the offer period and, if later, following the announcement in which any securities exchange offeror is first identified.
