Result of Annual General Meeting

The Board of NAHL is pleased to confirm that at the Company's Annual General Meeting held earlier today, resolutions 1 to 9 and resolution 11 were passed on a show of hands. Resolution 10 was carried on a show of hands but the Chairman, after considering the proxy voting results, demanded a poll and the resolution was subsequently not carried.  Full details of the proxy votes received from shareholders prior to the Meeting for each resolution are set out below.

 

The full text of each resolution was included in the Company's Notice of the Annual General Meeting posted to shareholders on 30 May 2024 and made available on the Company's website www.nahlgroupplc.co.uk.

The Board notes that Resolution 10, additional authority to disapply pre-emption rights, was supported by the majority of shareholders but did not achieve the necessary 75% votes in favour to be carried. The Board intends to engage with those shareholders who voted against the resolution to better understand the reasons behind the voting decisions and will consider any further actions to be taken as a result of this. The results of the poll carried out in relation to Resolution 10 are set out below.
