Directorate changes

Following further progress in resolving the Group's legacy matters, Watchstone announces that following the 2023 Annual General Meeting ("AGM"), Lord Howard (Senior Non-executive Director) and David Young (Non-executive Director) will step down from Board and will not be replaced.

Following these changes, the Board will comprise Richard Rose (Non-executive Chairman) and Stefan Borson (Chief Executive Officer). Mr Rose will become chairman of each of the Board's committees.

Mr Rose said: "It has been a great privilege to work closely with Lord Howard and David Young over these last few years as we have dealt with an extraordinarily complex array of operational, legal, regulatory and accounting matters. Their counsel and commitment have proved invaluable to me and the rest of the Board and the completion of much of that work now makes this an opportune moment for these changes."

The results for the year ended 31 December 2022 will be released in mid-April 2023. Once published, the Annual Report and Accounts will be available at www.watchstonegroup.com/investors and posted (where applicable) to registered shareholders.

The AGM will be held on 30 May 2023 at 2.30p.m. in London.

The Notice of the AGM will be published on the Company's website at https://www.watchstonegroup.com/investors/shareholder-information/.

Watchstone awaits the judgment of the High Court following its recent trial against PriceWaterhouseCoopers LLP which ended in February 2023.
