Letter of intent received from Hargreave Hale Limited
On 18 October 2019, the boards of IHLC and Elegant announced that they had reached agreement on the terms of a recommended all cash offer for the entire issued and to be issued ordinary share capital of Elegant by IHLC, to be effected by means of a scheme of arrangement under Part 26 of the Companies Act 2006 (the "Announcement").
The Announcement provided that IHLC received irrevocable undertakings in respect of a total of 14,878,641 Elegant Shares (representing approximately 16.75 per cent. of the Elegant Shares in issue as at the Last Practicable Date).
On 18 October, IHLC received a non-binding letter of intent from Hargreave Hale Limited (as investment adviser to the Marlborough
Therefore, IHLC has received irrevocable undertakings and a letter of intent in respect of a total of 17,228,641 Elegant Shares representing, in aggregate, approximately 19.40 per cent. of the Elegant Shares in issue as at the Last Practicable Date.
The percentages of Elegant Shares referred to in this announcement are based upon a figure of 88,815,789 Elegant Shares in issue as at the close of business on 17 October 2019.
